To participate in the Contest, you must agree to and abide by these Official Rules.



  1. Sponsor: Tribeca Film Festival NYC, LLC, 375 Greenwich St, New York, NY 10013 (“Sponsor”).

  2. Administrator: LeadDog Marketing Group, Inc., 440 9th Avenue, 17th Floor, New York, NY 10001 USA (“Administrator”).

  3. Eligibility: The Contest is open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia, who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence at time of entry (whichever is older) and have a valid email account and internet access as of 4/18/17. Void in Alaska, Hawaii, Puerto Rico, all U.S. territories and possessions, all overseas military installations and where prohibited by law. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six (6) months, performed services for Sponsor, Administrator, IBM Corporation (or “IBM”), any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the Finalist trips or the prize, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to participate, be a Finalist or win the prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. Potential Finalists may be required to provide proof of legal residency upon request in order to be verified as a Finalist. Employees of Government Owned Entities are not eligible to enter the Contest or win a prize.

    A “Government Owned Entity” (“GOE”) is defined as an organization/individual who meets any of the following criteria: Governmental bodies and employees - national, state, provincial, local, municipal government - and any department, agency, public enterprise or instrumentality of a government; State owned hospitals, schools, utilities; State owned enterprises (whether wholly or partly owned); Public international organizations; Private companies controlled fully or partly by or under common control with any of the above; a political party or party official, or any candidate for political office. GOE also includes GOE customers who may consist of: public schools, utilities and organizations licensed to provide public services; public international organizations, such as the United Nations or World Health Organization; entities subject to public procurement laws and regulations; other entities, even those that are privately held and those that are publicly traded, if a government, a public international organization, an entity subject to public procurement laws or a government official, owns or has the ability to exercise control over such entity; and U.S. Federal Clients, including: executive, legislative and judicial branches of the U.S. Federal government, (ii) U.S. Government-affiliated corporations (e.g., Tennessee Valley Authority), (iii) quasi-governmental organizations (e.g., The Smithsonian Institution), (iv) commercial business enterprises operating under a U.S. Federal government power of attorney, or with Management Operating Contractor (MOC) status.

    Entrants may not have been convicted of a felony or a crime of moral turpitude. By entering, each Entrant understands and agrees that, if selected as a potential Finalist, he/she may be required to consent to a background check; and, failure to sign such consents and authorizations and/or to furnish all required information will result in disqualification. In addition, Sponsor reserves the right in its sole discretion, to disqualify any Entry and/or disqualify a potential Finalist if the results of such background check reveal that the Entrant and/or potential Finalist is not eligible to participate in the Contest or has been convicted of a felony or a crime of moral turpitude, as determined by Sponsor in its sole discretion.

  4. Contest Schedule: The Storytellers with Watson: A Contest (“Contest”) begins on April 19, 2017 at 12:00 p.m. (noon) Eastern Time (“ET”) and ends on May 18, 2017 at 11:59 p.m. ET (“Entry Period”). See chart below for all Contest dates.

  5. Overview of the Contest: The Storytellers with Watson Contest is a competition for entrants to explore the potential for innovative uses of the cognitive capabilities of IBM Watson® within the specific context of the film industry. Submission ideas may address or include but are not limited to movies, virtual reality projects, augmented reality projects, web projects, mobile apps, games, multi-media installations and multi-platform works provided they incorporate the cognitive technologies of IBM Watson® (that is, using IBM Watson's Language, Vision, Speech and Data APIs (application programming interfaces). All eligible entries will be judged based on the judging criteria outlined in Section 10 by a team of IBM and Tribeca programmers to select approximately five (5) Finalists (as defined in Section 10). The Finalists will travel to New York, NY, June 26, 2017- June 28, 2017 where they will take part in a workshop with IBM technical, business and/or design personnel to help refine and develop their ideas. They will then have the opportunity to pitch their idea to the Final Judging Panel comprised of IBM and Tribeca executives, decision-makers and other “VIPs”. One (1) Grand Prize winner will be chosen and receive a trip for two (2) to New York, NY to attend the 2018 Tribeca Film Festival in April of 2018.

  6. How to Enter:

    During the Entry Period, navigate to“Website”). The entry form will consist of four (4) steps: Entrant Information, Information about your Idea, How Watson can Help? and Your Idea (collectively, “Entry” or “Submission Information”). For the avoidance of doubt, you must complete Steps 1, 2, 3, and 4 in order to enter. Your entire Entry submission must be completed in one (1) session.

    Step 1 – Entrant Information: You will be required to first provide the following “Entrant Information”: your first name, last name, email address, phone number, and current occupation.

    Step 2 – Information about Your Idea: Provide the name of your idea, a brief description of your idea (no more than ten [10] words), idea category (i.e. Development, Pre-Production, Production & Post Production, Marketing & Distribution, Audience Experience & Interaction or Other), the opportunity or challenge to be addressed and your target audience.

    Step 3 – How Can Watson Help?: Select all that apply from the provided list of Watson services (that is, the capabilities of Watson).

    Step 4 – Your Idea: Submit a detailed description of your idea and upload your video. The description will be part of the Entry Form and should not be uploaded as a separate document. Your description should outline a clear plan for the development of your idea. It should include the film industry challenge to be addressed, cognitive technologies of the IBM Watson® supercomputer to be used in addressing the challenge, data sources to be used in addressing the challenge, target audience and benefits expected [that is, how the challenge will be addressed; how the problems will be solved]. Your detailed description must be less than five-hundred (500) words.

    After you input your description, upload your video to the Website.

    Your video component should expand upon your written description. Your video may not exceed sixty (60) seconds in length and must be submitted in one of the following formats: MOV, AVI, MPEG, MPG, MP4, FLV, M4V, WMV, or 3GP. The video may but does not have to include the entrant’s name and/or any credits which for the avoidance of doubt, if included, will count toward the official length of the video (of sixty [60] seconds).

    Your idea, description and video must be original and created for the sole purpose of the Contest. (DO NOT COPY OTHERS’ WORKS, IN WHOLE OR IN PART. YOU MUST OTHERWISE COMPLY WITH THE CONTENT GUIDELINES BELOW AS WELL AS THE OTHER TERMS HEREIN.) ONLY ENTRANT MAY APPEAR IN VIDEO COMPONENT. If entrant is not the videographer, entrant must have the videographer’s written consent to use and publish the video as contemplated in the Contest and to grant Sponsor the license described below.

    To submit your Entry, click the "Submit" button on the entry form. Proof of entering information at the Website is not considered proof of delivery to or receipt by Administrator and/or Sponsor of such Entry.

    You may be asked to consent to receive promotional e-mails and reminders for upcoming promotions from Sponsor. Consenting to receive promotional or reminder e-mails is optional, does not have to be agreed to in order to be eligible to enter the Contest, and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of Tribeca Film Festival NYC, LLC and you may opt out of receiving these e-mails at any time.   7. Additional Entry Rules and Restrictions: Limit one (1) Entry per person/email address during the Entry Period. Entry must be solely the work product of a single individual (with the sole exception of a third party videographer creating Video component of Entry, if applicable); group, team or joint Entries are prohibited. Multiple entries and/or mass entry attempts in violation of the preceding limitation will result in disqualification of all entries by such person/email address. Once submitted, an Entry may not be amended or supplemented, absent the express consent of Sponsor which may be granted or withheld in its sole and absolute discretion and without liability of any kind. (The preceding expressly excludes the selection of an Entrant as a Finalist as discussed below). Entries must be manually keystroked by the Entrant; use of automated entry devices or programs, and entries by third parties by any method of entry are prohibited. Entries that do not conform to or that violate these Official Rules or are submitted in any manner other than as stated in these Official Rules will be disqualified. All entries must be submitted to the Website in their entirety prior to expiration of Entry Period. By entering this Contest, entrants agree to these Official Rules and the decisions of the Administrator and Sponsor (as well as the judges), which are binding and final in all matters relating to this Contest.

    If you enter via a mobile device, data rates may apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Contest. Mobile device service may not be available in all areas. Check your phone's capabilities for specific instructions.

  8. Content Guidelines: In addition to complying with all other requirements of these Official Rules, each submission including your video and description must comply with the following guidelines (“Content Guidelines”). Any Entry which includes an idea description or video that Sponsor, in its sole discretion, determines is in violation of any of the Content Guidelines will be disqualified. Each Entry must NOT:

    • Contain content that violates or infringes any third party rights of any kind, including without limitation, any third party privacy, publicity, trade secret and/or intellectual property rights, including third party registered and/or common law copyrights and trademarks*;
    • Use the trademarks or logos of any party unless such party has given express consent for such use;
    • Include any third-party music, compositions, arrangements, lyrics or poetry;
    • Include any content that is a trade secret or subject to a confidentiality obligation of any kind;
    • Depict or reference any person (living, dead, or fictional) who has not given their express consent for such depiction. Videos may include only you alone (as discussed above);
    • Include any dialogue, text, artwork, props, references, or materials of any kind from any third-parties that have not been expressly cleared for such use;
    • Contain content that is misleading, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous;
    • Contain content that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of alcohol or other controlled substances);
    • Contain content that is unlawful or in violation of or contrary to any applicable federal or state laws or regulations;
    • Have been previously submitted in a promotion of any kind, or published, posted, exhibited or displayed publicly for commercial use;
    • Contain content that creates or imply any association or endorsement between Sponsor and any individual, entity, or products and services;
    • Contain content that is not relevant to the Contest theme of demonstrating the potential for innovative uses of the cognitive capabilities of the IBM Watson® supercomputer within the film industry;
    • Contain content that advertises entrant’s or any third party’s product or services.
    In addition to the foregoing, the Entry cannot:
    • Contain executable programming of any kind, including without limitation, viruses, worms, Trojan horses, spyware, malware, time bombs, Easter eggs, cancel bots or any kind of malicious or benign computer programming whatsoever; and
    • Contain encrypted content of any kind, including without limitation, encoded messages.
    Technical Requirements for Videos:
    • Videos must be in one of the following file formats: MOV, AVI, MPEG, MPG, MP4, FLV, M4V, WMV, or 3GP.
    • Videos must not exceed sixty (60) seconds in length.
    • Sponsor will not return submitted videos.

    If a video file cannot be opened, viewed and/or accessed by Sponsor or Administrator for any reason whatsoever, the Entry of which that Video is a component may be disqualified without any fault or liability of the Released Parties, as defined below.

    *Sponsor and IBM, grant to each qualified entrant a limited, non-transferable, non-exclusive, non-sublicensable, revocable right to use their trademarks solely for purposes of and limited to including them in the description and video submitted in this Contest; such right and license will automatically expire without further act of any party at the expiration of the Contest, unless specifically extended on an individual basis by Sponsor and/or IBM, in writing in their sole discretion. Any other use of Sponsor’s and IBM’s and/or their licensors’ trademarks will be a violation of Sponsor’s and IBM’s or their applicable licensor’s intellectual property rights.

    Entrant further agrees that Sponsor and IBM each have wide access to ideas, stories, designs and other literary/artistic materials submitted to them from outside sources or being developed by their own employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) his/her idea description and/or video and that neither Sponsor nor IBM will have any liability to entrant or any third party in conjunction therewith.

    Entrant also understands and agrees that Sponsor and IBM have no duty of confidentiality or other fiduciary duty relative to his/her idea description and/or video.

  9. Publicity Grant: By submitting an Entry, each entrant irrevocably grants Sponsor, and their respective affiliates, legal representatives, assigns, agents and licensees, the exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sub-licenseable right and license (under all intellectual property and proprietary rights including without limitation patents, trademarks, and copyrights) to use, perform, exhibit, reproduce, manufacture, construct, tailor, distribute, sell, offer to sell, import and/or otherwise exploit the Entry in any manner and in any and all distribution channels, venues or media now known or hereafter devised (collectively, the “License”). The rights granted pursuant to the License shall also include, without limitation, the right to: (a) change, alter, distort, edit or revise the Entry, or any part thereof; and (b) make derivative works based on the Entry, or any part thereof. The License expressly includes, without limitation, the right of Rights Holders, in their sole discretion and without further notice to the Entrant, to modify a selected Entry (even if not a Finalist) for purposes of functionality, cost, manufacture or production requirements or for any other reason. Potential Finalists will be required to sign a Grant of Rights and Release conveying the above rights in order to be confirmed as a Finalist. Except where prohibited by law, Entrants further grant the right to use and publish an Entrant’s name, likeness, biographical information and Entry (in whole or in part), together with content which Sponsor owns or has obtained the rights to use. Such publication may or may not be in, but not limited to, the following forms of media: Internet/Digital/New Media; print; television; and radio. Further, each Entrant understands that such usage may or may not occur worldwide in perpetuity. Each Entrant understands and agrees that although Sponsor has the right to publish all or part of any Entry as stated herein, Sponsor may elect to publish or not, in their sole discretion.

    EACH ENTRANT REPRESENTS, UNDERSTANDS AND ACKNOWLEDGES THAT HE/SHE WILL NOT BE PAID FOR OR RECEIVE ANY FORM OF COMPENSATION OR ROYALTY IN EXCHANGE FOR GRANTING SPONSOR THESE RIGHTS EXCEPT TO THE EXTENT THAT APPLICANT IS A FINALIST OR THE GRAND PRIZE WINNER (AS DISCUSSED BELOW). Each Entrant waives all privacy/publicity rights or other legal or moral rights that might limit or preclude Sponsor’s use of the respective Entry and agrees not to sue or assert any claim against Sponsor or Administrator arising out of or connected to the use of the Entry.

    Sponsor and Administrator are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, corrupted/blocked, inaccessible, delayed or misdirected Entries -- all of which will be void. In the event of a dispute as to any Entry, the authorized account holder (determined at time of the Entry) of the e-mail address used to make the Entry will be deemed to be the Entrant and must comply with these Official Rules. The "Authorized Account Holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address.

  10. Initial Judging: During the period commencing May 19, 2017 and ending May 30, 2017 Initial Judging will be conducted by a panel of IBM and Tribeca Film Festival programmers who will review all eligible Entries based on the judging criteria below. The Entries with the five (5) highest scores will be deemed “Finalists.” Sponsor and IBM shall have no liability if fewer than five (5) Finalists are selected in the Initial Judging for any reason.

    All judging will be based on the following four (4) criteria;

    • Creativity (25%)
    • Technical Feasibility (25%)
    • Impact Potential (25%)
    • Suitability of Entry for Promotional Purposes (25%)

    TIED ENTRIES: In the event of a tie, the tie will be broken by the Judges based on the tied entry/entries with the higher/highest score in the criterion of “Technical Feasibility”

    The top “Finalist” Entries subject to verification will move on to the Finalist Judging Phase.

  11. Notification of Finalists: Potential Finalists will be notified via e-mail using the e-mail submitted at Contest entry (that is, provided as part of Entry Information) on or about May 31, 2017. Failure to respond to the initial verification e-mail within seventy-two (72) hours after notification or return of e-mail notification as undeliverable after two (2) attempts will result in disqualification. Potential Finalists will be required to sign and return, within seventy-two (72) hours of notification, an Affidavit of Eligibility, Release and Indemnification, Grant of Rights and Release, Publicity Release where allowed by law, W9, and Background Check Consent Form (“Winner Documents”). If a potential finalist is found to be ineligible or otherwise not in compliance with these Official Rules or if a potential finalist declines becoming a finalist for any reason, trip to finalist event and opportunity to compete for the Grand Prize will be forfeited and potential finalist will be disqualified. If potential finalist is disqualified for any reason, the Entry which was ranked next highest in the Initial Round of Judging (after the verified finalists and disqualified potential finalist), as per Section 10 above, will be deemed a potential Finalist instead, time permitting. If potential Finalist is disqualified for any reason, he/she will not receive compensation of any kind.

  12. Finalist Event and Finalist Judging: Five (5) Finalists will be invited to New York, NY between June 26, 2017- June 28, 2017 where they will compete in the final round of judging (“Finalist Event”). Each Finalist will receive: a two (2) night/three (3) day trip for one (1) to New York, NY (“Finalist Trip”). Finalist Trip includes economy class round trip coach air travel for one (1) from a major airport near winner’s residence to a New York City-area airport (as determined by Sponsor in its sole discretion), ground transportation for the Finalist to and from the New York City-area airport and New York City hotel; two (2) nights standard hotel accommodations (one room, single occupancy) at a New York City hotel of Sponsor’s choosing; ARV of each Finalist Trip: $1,500.00 Air travel and hotel are of Sponsor’s sole choosing. No spending money for expenses will be provided. Should actual value be less than stated Approximate Retail Value, Finalist will not receive the difference in cash or otherwise. All Finalists must conduct themselves at all times in a socially responsible, appropriate and well-behaved manner, including his/her interaction with other Finalists, Sponsor representatives/coaches and members of the judging panel; failure to do so will result in immediate termination of Finalist Trip (including participation in the Finalist Event, with forfeiture of possibility of winning the Grand Prize) and Sponsor, IBM Corporation and Administrator shall have no further liability or obligation to such Finalist. Finalist Trip is subject to availability and other restrictions.

    Finalist must be available to travel June 26, 2017- June 28, 2017. Finalist Trips are for the Finalists alone, without a guest.

    The Finalists will have the opportunity to attend a workshop with IBM Watson® specialists to refine their idea. All Finalists will receive the same amount of coaching, with coaches having a comparable level of skill/expertise in Watson and spending a uniform amount of time with each Finalist.

    Participation in the Finalist Event may also be subject to additional rules and regulations provided to each Finalist. Such Rules and Regulations are made a part of these Official Rules and incorporated herein by reference. In the event of any inconsistency between such Rules and Regulations and these Official Rules, these Official Rules will prevail, govern and control with the sole exception of any inconsistency as to the conduct of the Finalist Event (to which the Rules and Regulations will prevail, govern and control.)

    After, Finalists will be judged on a presentation consisting of a six (6) minute pitch elaborating on their idea (and supplementing the Entry materials previously submitted; changes/modifications to idea are NOT permitted) followed by a four (4) minute question and answer session. The order in which Finalists will make their presentations will be determined at random by Sponsor and/or IBM Corporation. The Finalists’ ideas and presentations will be judged on the following four (4) criteria:

    • Creativity (25%)
    • Technical Feasibility (25%)
    • Impact Potential (25%)
    • Strength of Presentation (25%)

    The Finalist Event judges (that is, IBM and Tribeca executives, decision-makers and other “VIPs”) will select one (1) Finalist with the highest score as the Grand Prize Winner. In the case of a tie between Finalists, the finalist with the higher/highest score in the Strength of Presentation category among those tied will be deemed the Grand Prize Winner. Any identified persons' participation on the finalist judging panel is subject to availability and to change without notice. Sponsor reserves the right to replace an identified judge with someone else of similar expertise/qualifications of its sole choosing.

    The Grand Prize winner will be announced on June 27, 2017 at the conclusion of the Finalist Event.

    If a Finalist cannot attend the Finalist Event on June 27, 2017 for any reason, such Finalist will be disqualified and an alternate potential Finalist selected as per Section 10 above, time permitting. (Finalist may NOT designate a proxy or surrogate to compete in the Finalist Event on his/her behalf.) The Finalist Event may be recorded electronically as well as in audio and video form and edited clips of the Finalist Event may be posted to Tribeca Film Festival NYC, LLC’s and/or IBM’s websites and/or social media channels; and, as per Section 9 above, Finalists expressly agree to such use of audio/video/electronic recordation of their participation in Finalist Event without further notice or further compensation of any kind. For the avoidance of doubt, as between Finalist, on the one hand, and Sponsor and/or IBM Corporation, on the other hand, Sponsor and/or IBM Corporation (as the case may be) shall own any and all rights to the audio/video/electronic recordation of a Finalist’s participation in Finalist Event; and, upon request of Sponsor and/or IBM Corporation (as applicable), and without additional compensation, Finalist agrees to complete, sign and return any documents that Sponsor and/or IBM Corporation (as applicable) may require to perfect, effect or record such ownership rights in such audio/video/electronic recordation of a Finalist’s participation in Finalist Event.

    Decisions of the Finalist Event judges and Administrator are final and binding in all respects.

  13. Prize, Approximate Retail Value ("ARV")

    Grand Prize (1 Winner): One Grand Prize winner will receive: a two (2) night/three (3) day trip for two (2) to New York, NY to attend select programming during the 2018 Tribeca Film Festival which is tentatively scheduled to occur between April 19, 2018 and April 30, 2018** (“Trip”). Trip includes economy class round trip coach air travel for two (2) from a major airport near winner’s residence to a New York City-area airport (as determined by Sponsor in its sole discretion), ground transportation for the winner and guest to and from the New York City-area airport and New York City hotel; two (2) nights standard hotel accommodations (one room, double occupancy) at a New York City hotel of Sponsor’s choosing; and two (2) passes to attend select programming during two (2) days of the Tribeca Film Festival (select programming and access to be chosen by Sponsor in its sole discretion). Some restrictions apply. ARV of Grand Prize: $5,500.00

    **Actual dates of 2018 Tribeca Film Festival have not yet been determined by Sponsor. Sponsor will provide Grand Prize winner with exact dates of 2018 Tribeca Film Festival when available.

    Grand Prize winner and guest must be available to travel on the dates during the 2018 Tribeca Film Festival (tentatively scheduled to occur between April 19, 2018 and April 30, 2018) as directed by Sponsor at the time of or after winner notification, or Grand Prize will be forfeited without compensation of any kind and at Sponsor’s discretion, an alternate winner may be selected as per Rule 12 (that is, the Finalist with the next highest score in the Finalist Event). Guest of Grand Prize winner must be at least eighteen (18) years of age (or age of majority in his/her jurisdiction of residence), unless accompanied by parent/legal guardian. In the event the Grand Prize Winner is able to participate in the Trip during the dates designated by Sponsor but the 2018 Tribeca Film Festival portion of the Grand Prize does not or cannot take place as scheduled or at all, for reasons including but not limited to cancellations, postponement, location changes, security considerations, an event of force majeure, or for any other reason, then Sponsor reserves the right to award the remainder of the prize in full satisfaction of Sponsor’s obligations hereunder and with no further obligation to the winner. Actual value of Grand Prize trip may vary based on point of departure and fluctuation in transportation and hotel rates. Should actual value be less than stated approximate retail value, Grand Prize winner will not receive the difference in cash or otherwise. Sponsor will select in their sole discretion the specific dates that Grand Prize winner will attend the 2018 Tribeca Film Festival, which will be provided to winner after time of winner notification.

    For all travel:

    Finalists, Grand Prize winner and guest are solely responsible for obtaining travel insurance and any and all necessary travel documents (valid photo I.D., credit card, etc.). Finalists and Grand Prize winner must provide own transportation to and from departure airport. Travel arrangements must be booked through Sponsor’s agent, on a carrier of Sponsor’s choice. Changes are not permitted after tickets are issued. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. Finalists and Grand Prize Winner are solely responsible for all costs and expenses not specified herein as being awarded, including, but not limited to baggage fees, meals, tips, hotel incidentals and additional ground transportation. Finalists and Grand Prize winner assume the risk of any inherent or unforeseen dangers associated with travel. Sponsor is not liable for any expenses incurred as a consequence of flight cancellation/delay.

    If a Finalist or the Grand Prize winner lives within reasonable driving distance of New York, NY (as determined by Sponsor and Administrator in their sole discretion), Finalist/Grand Prize winner will receive ground transportation from his/her residence instead of the flight portion of the prize and no compensation or alternate prize will be awarded.

    Finalists, Grand Prize winner and guest agree to conduct themselves at all times in an appropriate, well-behaved and courteous manner and agree to follow all instructions of Sponsor and Administrator. Should a Finalist, Grand Prize winner or guest fail to do so (as determined by Sponsor/Administrator in their sole discretion), the applicable Trip will be terminated immediately and Sponsor and Administrator will have no further liability or obligation to winner.

    No substitution, transfer or cash redemption of Finalist Trip or Grand Prize, except Sponsor in its sole discretion may award a substitute Finalist Trip/Grand Prize (or component of same) of equal or greater value if advertised Finalist Trip/Grand Prize (or component of same) is unavailable at time of awarding. Unspecified expenses relative to prize acceptance/use are winner’s sole responsibility. All federal, state and local taxes are the sole responsibility of each Finalist and the Grand Prize winner, who will each receive an IRS Form 1099 reflecting the final actual value of the awarded trip(s). (The Grand Prize winner will receive one [1] IRS Form 1099 in January 2018 reflecting the final value of their Finalist Trip and one [1] IRS Form 1099 in January 2019 reflecting the final value of the Grand Prize trip to the 2018 Tribeca Film Festival.) All details of Finalist Trip and Grand Prize are at the sole discretion of Sponsor. Finalist Trip and Grand Prize must be accepted in their entirety as stated herein or not at all.

  14. Limitations of Liability: Released Parties (as defined in Section 15 below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, corrupted/blocked, inaccessible, delayed or misdirected Entries, Internet connections or e-mail; technological/programming/electronic or other error, or for any computer, telephone, wireless, satellite, cable, network, electronic, Internet or phone hardware or software malfunctions, failures, connections, or availability, or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net/accessibility, availability, or traffic congestion, Internet contact, or any technical error, or program errors or malfunctions or unauthorized human intervention, or the incorrect or inaccurate capture of Entry, video or other information, or the failure to capture, or loss of, any such information. The Released Parties (as defined below) are not responsible for any incorrect or inaccurate information, whether caused by any web site, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Contest and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction of any web site. If for any reason the Contest is not capable of running as planned (in whole or in part), as solely determined by Sponsor, including but not limited to by infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures that can corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest. In such event, Sponsor shall conduct the Contest and determine the Finalists (awarding Finalist Trips) and make the Grand Prize available to be won in a manner which is fair, appropriate and consistent with the spirit of these Official Rules, as determined by Sponsor in its sole discretion. Notice of cancellation/termination/ modification/suspension of the Contest will be posted on the Website. The right is reserved by Sponsor to disqualify any individual found, at their sole discretion, to be tampering with the Entry process, the operation of the Contest, to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. The preceding specifically includes but is not limited to the behavior of Finalists at the Finalist Event. Released Parties are not responsible for any injury or damage to entrant's or any other person's computer or mobile device (or any information/data stored thereon) related to or resulting from participation in the Contest or any other materials from this Contest.


  15. Additional Conditions: By participating, entrants agree to be bound by and abide by these Official Rules and the decisions of Sponsor, IBM Corporation and/or Administrator (as well as the judges), which shall be final and binding in all respects. By participating in this Contest, entrants agree to release and hold harmless Sponsor, Administrator, IBM Corporation, Facebook, Inc., Instagram, LLC, Twitter, Inc., their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage (whether due to negligence or otherwise) to person(s), including death, and property or breach or failure or any representation of warranty arising in any manner, directly or indirectly, from participation in this Contest and/or from the acceptance, misuse or use of the Finalist Trip and/or Grand Prize (as applicable; and subject to the terms of any express warranty that Sponsor may make as to attendance at the 2018 Tribeca Film Festival). By entering, entrant authorizes Sponsor and its designees to use entrant’s Entry, name, voice, likeness, video, finalist or prize information (if and as applicable), biographical data and city and state of residence in programming, advertising, trade and/or promotional material and on a winners’ list (if applicable) in all media now known or hereafter discovered on the World Wide Web and Internet, at any time, in perpetuity, without compensation (where permitted by law) and without review, approval or notice, to the extent permitted by law. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at their sole discretion, without further obligation or compensation.

  16. Disputes; Arbitration/Choice Of Law: Except where prohibited, entrants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or the awarding of prizes/determination of prize winners, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of JAMS, then effective (notwithstanding the foregoing, entrant shall not be precluded from seeking relief in small claims court for disputes/claims within the scope of the jurisdiction of small claims court and any remedies available to entrant under applicable federal, state or local law remain available to entrant and are not waived pursuant to this section); (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased and any and all rights to injunctive relief. The arbitrator hearing such dispute/claim/cause of action shall be neutral and the entrant will have a reasonable opportunity to participate in the selection of the arbitrator. Such arbitration will take place at a location near the entrant’s residence and the entrant has the right to an in-person hearing in the arbitration proceeding, if desired. The arbitration will allow for the discovery and/or exchange of non-privileged information between entrant and Sponsor. Should an entrant initiate arbitration pursuant to this section, the entrant shall be responsible for JAMS’s fees to do so (approximately, $250), with all other costs of such arbitration being borne solely by Sponsor. If entrant is a California resident and Sponsor is the prevailing party in such arbitration, such entrant will not be responsible for Sponsor’s costs and fees in conjunction with the arbitration proceeding; BUT, IN ALL OTHER CASES, ENTRANT WILL BE RESPONSIBLE FOR SUCH COSTS/FEES IF REQUIRED BY THE ARBITRATOR’S RULING. For the avoidance of doubt, the requirement to arbitrate disputes pursuant to this section is reciprocal and binding both upon entrants and Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without regard for conflicts of law doctrine of New York or any other jurisdiction, and all proceedings shall take place in the City of New York, County of New York.

  17. Winners’ List: For the names of the Finalist Trip recipients and/or the Grand Prize winner mail a self-addressed, stamped envelope to: Storytellers with Watson Contest Winner, c/o LeadDog Marketing Group, 440 9th Ave., 17th Floor, New York, NY 10001. Requests received after 7/31/17 will not be honored.
